甲方向第三方支付的费用

Fees paid by Party A to the third parties

与委托事项有关的，需要向第三方支付的，包括但不限于诉讼费用、鉴定费用、检验费用、评估费用、审计费用、公证费用、公告费用、翻译费用、查档等费用，不属于律师费，该等费用由甲方承担，甲方应按照进度要求及时缴纳或支付。

Those that are related to the entrusted matters and shall be paid to the third party, including but not limited to the costs of litigation, appraisal fees, inspection fees, evaluation fees, audit fees, notarial fees, announcement fees, translation fees, files consultation fees and other expenses, shall not belong to the attorney's fee. Such expenses shall be borne by Party A, and Party A shall pay in time according to the progress requirements.

乙方律师为甲方垫付前述费用的，甲方应在3日内偿还。

Where Party B’s lawyer advances the aforesaid expenses for Party A, Party A shall repay within 3 days.

甲方利用乙方律师提供的服务，从事违法活动；

Party A uses the services provided by the lawyer of Party B to engage in illegal activities;

甲方故意隐瞒与委托事项有关的重要事实；

Party A intentionally conceals the important facts related to the entrusted matters;

甲方超过约定付款期限10日，尚未向乙方支付应付律师费；

Party A exceeds the agreed payment term of 10 days and has not paid the attorney’s fee to Party B;

甲方存在其他违约行为，经乙方书面提醒后，7日内仍未纠正；

Party A has other default behaviors, and still not correct within 7 days after Party B's written reminder;

出现本条第2款约定的情形时，乙方有权解除本合同，并有权要求甲方支付本合同约定的全部预期律师费。

In the event of the circumstances stipulated in Clause 2 of this Article, Party B shall have the right to terminate this Contract and shall have the right to require Party A to pay all expected attorney’s fees as agreed in the Contract.

乙方律师保密义务

The confidentiality obligation of Party B's lawyer

乙方律师应当保守办理委托事项知悉的国家秘密、商业秘密，不得泄露甲方隐私，但是依照法律规定应当披露或者甲方同意披露的除外。

Party B's lawyer shall keep the state secrets and business secrets known to the  entrusted matters, and shall not disclose Party A’s privacy, except that it shall be disclosed in accordance with the provisions of the law or agreed to be disclosed by Party A.

利益冲突

Conflict of Interest

乙方及乙方律师应当恪守律师业利益冲突相关规定。

Party B and the lawyer of Party B shall abide by the relevant provisions of the law on the conflict of interest in the lawyer industry.

送达条款

Delivery Terms

以传真方式发出的通知，在发送日后的第一个工作日视为有效送达；

The notice sent by fax shall be deemed to be valid for the first working day after the sending date;

以电子邮件方式发出的通知，在发出之日起24小时内即视为有效送达。

The notice sent by e-mail shall be deemed to be valid within 24 hours from the date of issuance.

因乙方原因中止（终止）合同的，所收律师费退还甲方，未交部分予以免交。

In case of cancellation (termination) of the Contract due to Party B, the attorney’s fees collected shall be returned to Party A, and the unpaid part shall be waived.
