甲方和乙方在平等互利的原则下经过友好协商，同意按照中华人民共和国的法律和本合同的规定，建立一家共同所有的公司（以下简称“合营企业”）。双方特此立约如下：
After friendly consultation conducted on the principle of equality and mutual benefit, Party A and Party B have agreed to establish a jointly owed corporation (hereinafter referred to as “Joint Venture”) in accordance with the Laws of the People’s Republic of China and the provisions of this Contract. The Parties hereby agree as follows:
第一条 定义
Article 1 Definitions

“合营企业”系指根据本合同第三条的规定组成的公司。
“Joint Venture” means the corporation to be pursuant to the provisions of the Article 3 hereto.

第二条 合营企业的组建
Article 2 Formation of the Joint Venture

合营企业的组织形式为有限公司。甲方和乙方按其在合营企业注册资本中所占的比例分享利润和分担风险及亏损。
The Joint Venture shall take the form of a limited liability company. The profits, risks and losses shall be shared by both Party A and Party B in proportion to their respective contributions to the registered capital of the Joint Venture.
合营企业的一切活动必须遵守中华人民共和国的法律法令和有关规定。
All the activities of the Joint Venture shall comply with the provisions of the laws, decrees and pertinent regulations of the People’s Republic of China.
第三条 生产经营的目的、范围和规模
Article 3 Purpose, Scope and Size of Business
合营企业的目的是采用先进的技术和高效率的管理体系，生产高质量的并在轨迹市场具有竞争力的许可产品，以获得满意的经济效益。
The purpose of the Joint Venture is to adopt advanced technologies and efficient management systems to produce high quality and competitive licensed products in the world markets, so as to achieve satisfactory economic returns.
合营企业生产_______（许可产品），生产能力为每年_________。合营企业将努力提高许可产品质量，改善管理，以适应国际竞争。
The Joint Venture is to produce_______(licensed product) with a production capacity of________per year. The Joint Venture shall endeavour to upgrade the quality of the licensed products and improve the management so as to meet competition worldwide.
合营企业要尽可能开发许可产品的新品种，以满足国内外市场的发展需要。
The Joint Venture shall try to develop new varieties of licensed products as much as possible in order to meet the development needs of domestic and foreign market.
乙方向甲方提供工业产权的技术资料包括复印本的专利证书和注册商标证书，有效期说明，技术特点，实际价值，价格计算依据等。
Party B shall present party A the relevant technical data on the industrial property including photocopies of the patent certificates and trademark registration certificates, statements of validity, their technical characteristics, practical value, the basis for price calculation, etc.
合营企业各方必须在20_____ 年______月 _______日前交付其出资。迟交必须交纳利息或赔偿因此而造成的损失。
Each Party to the Joint Venture shall pay in its contributions before MM/DD/YY. Any delay in payment will be subject to a payment of interest or a compensation for the loss incurred therein.
甲乙任何一方转让其出资额，须经另一方同意和其政府批准，该方享有优先购买权。
The transfer of its capital contribution by either party shall be subject to the consent of the other party and the approval of its government, and the party shall have the preemptive right.
第四条 董事会
Article 4 Board of Directors
董事会是合营企业的最高领导机构，负责合营企业的主要事宜。
The Board of Directors is the highest authority of the Joint Venture to be responsible for all major issues concerning the Joint Venture.
董事会由______名董事组成，其中_______名（包括董事长）由甲方指定，________ 名（包括副董事长）由乙方指定。董事的任期为4年，任期届满的董事可指定连任一届。
The Board of Directors consists of______directors, of whom_______(including the Chairman) shall be appointed by Party A, and______(including the Deputy Chairman) shall be appointed by Party B. The term of office for the directors is 4 years. A director whose term of office has expired may be reappointed for one more term.
董事会每年召开一次，原则上在合营地址的法定地址举行。出席会议的法定人数不得少于董事会人数的三分之二。若董事不能出席董事会，可以书面授权代表出席，代表他投票。
The board meetings shall generally be held at the location of the Joint Venture’s legal address, once a year. A quorum for a meeting shall consist of not fewer than two thirds of the directors. Should any director be unable to attend the meeting, he may authorize a representative in writing to be present at the meeting and vote for him.
因任何原因造成合营企业的董事职位空缺，将由原指定该董事的一方予以更换。
Any vacancy in the post of director of the joint venture caused by any reason shall be replaced by the party which originally appointed the director.
对于下列问题，必须经出席会议的董事一致通过，方可作出决定：
Decisions on the following items shall be made only when unanimously agreed upon by the directors present at the board meeting.
- 修改合营企业章程;
Amendment to the articles of association of the Joint Venture;
- 终止和解散合营企业;
Termination and dissolution of the Joint Venture;
- 增加或转让合营企业的注册资本;
Increase or assignment of the registered capital of the Joint Venture;
- 合营企业同其他经济组织合并。
Merger of the Joint Venture with other economic organizations.
其他问题的决定，以出席会议董事人数的简单多数票作出。
Decisions on other items shall be made by a simple majority vote of the directors present at the meeting.
第五条 管理
Article 5 Management
合营企业设经营管理机构，负责企业的日常经营管理工作。
The Joint Venture shall establish a management office to be responsible for daily management of the Joint Venture.
经营管理机构设经理1人，副经理2人，任期4年。总经理由甲方指定，负责执行董事会的决议和日常管理工作。副总经理由双方指定1人，协助总经理工作。
The management office shall have a General Manager and two Deputy General Managers whose term of office is four years. The General Manager nominated by Party A shall be responsible for implementing the decisions of the Board of Directors and the daily operation. Each party shall designate one Deputy General Manager to assist the General Manager in work.
管理机构可设若干部门，在总经理和副总经理的领导下，负责企业各业务部门的工作。
The management office may set up its sub-divisions to be responsible for the work of various business departments of the enterprise under the leadership of the General Manager or Deputy General Managers.
第六 财务与会计
Article 6 Financial Affairs and Accounting
甲乙双方充分认识到，为了他们自己和合营企业的最大利益，必须尽一切可能增加生产。因此，双方同意合营企业应保留足够的收益，用于扩大生产和其他需要，如奖金和福利基金。合营企业的每年留用资金比例由董事会决定。
The parties hereto are fully aware that they shall take all reasonable measures to increase production for the best interests of themselves and the Joint Venture. Therefore, the parties agree to retain sufficient earnings in the Joint Venture for the expansion of production and other requirements, such as bonuses and welfare funds. The annual proportion of the retained funds shall be decided by the Board of Directors.
合营企业雇用合格的财务人员和审计员，设立会计账目，合营各方可随时查看。
The Joint Venture shall employ competent treasurers and auditors to keep all books of accounts, which are accessible at any time to each party hereto.
合营企业的财政年度自1月1日至12月31日。合营企业的净收入，在扣除储备金奖金和企业发展资金以后，根据各方出资在注册资本中的比例进行分配。
The fiscal year of the Joint Venture begins on January 1st and ends on December 31st. The net profit of the Joint Venture shall be distributed between the parties to the Joint Venture in proportion to the irrespective shares in the registered capital after deducting the reserve funds, bonuses and enterprise development funds of the Joint Venture.
第七条 税费
Article 7 Taxation
合营企业必须按照中华人民共和国的法律纳税。
The Joint Venture shall pay taxes in accordance with the relevant laws of the People’s Republic of China.
合营企业的支援和工人必须按照《中华人民共和国个人所得税法》纳税。
The staff members and workers employed by the Joint Venture shall pay the taxes according to The Individual Income Tax Law of the People’s Republic of China.
合营企业进出口货物根据中华人民共和国的法律缴纳或减免关税。
The Joint Venture shall pay or be exempted from the customs duty on imported or exported goods in accordance with the relevant laws of the People’s Republic of China.
第八条 合营期限
Article 8 Duration of the Joint Venture
合营期限为_______年。合营企业的成立日期为合营企业公司营业执照签发之日。
The duration of the Joint Venture is______years, which begins on the date when the Joint Venture is issued the business license.
若双方同意延期，合营企业必须在期满前6个月向中国政府的主管部门提出延长期限的申请。
When the parties agree to extend the duration, the Joint Venture shall file an application for extending the duration to the relevant authority of the Chinese government six months before its expiration date.
第九条 解散与清算
Article 9 Dissilution and liquidation
董事会宣布解散合营企业，必须指定清算程序和原则，并成立清算委员会。合营企业的解散和清算的一切事宜均按照中华人民共和国法律办理。
Upon announcement of the dissolution of the Joint Venture, its Board of Directors shall work out procedures and principles for the liquidation and set up a liquidation committee. All the matters concerning the dissolution and liquidation of the Joint Venture shall be handled in accordance with the relevant laws of the People’s Republic of China.
第十条 保险
Article 10 Insurance
合营企业的各项保险均在中共人民保险公司投保。
The insurance against various risks shall be effected by the Joint Venture with the People’s Insurance Company of China.
第十一条 仲裁
Article 11 Arbitration
有关本协议的一切分歧与争议，若董事会通过协商下达不成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该仲裁程序暂行规则进行仲裁。该委员会的仲裁是最终的，对双方均具有约束力。
All the disputes, controversies or differences concerning this Contract which the Board of Directors fails to settle through consultation, shall finally be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with the Provisional Rules of Procedure of Arbitration of the said Commission, the decision of which shall be final and binding upon the parties.
第十二条 不可抗力
Article 12 Force Majeure
本合同任何一方因地震，火灾，洪水，爆炸，风暴，事故和战争等不可抗力事故，未能履行协议，不构成违约或索赔之缘由。
Any failure or delay in the performance by either party of its obligations under this Contract shall not constitute a breach of contract or give rise to any claims for damages if it is caused by the quake, fire, flood, explosion, storm, war, etc.
遭受不可抗力事故一方必须立即电报通知另一方 ，并在发电报_____天之内提交当地主管部门出具的证明文件，供双方据以友好协商有关问题。
The party affected by force majeure event shall immediately notify the other party by telegraph, and submit the certification documents issued by the local competent department within days of the telegram, so that the parties can negotiate the relevant issues in a friendly manner.
第十三条 适用法律
Article 13 Governing Law
本合同的形式，生效，解释和履行均以中华人民共和国法律为准。
The form, validation, interpretation and performance of this Contract are governed by the laws of the People’s Republic of China.
第十四条 文字
Article 14 Language
本合同以中英文书写，两种文体对双方均具有约束力。但在产生分歧时，以中文本为准。
This Contract are executed by the parties hereto in both Chinese version and English version, each of which shall be binding upon both parties, but the Chinese version shall prevail in the event of discrepancy between the two said versions.
